Terms of Service

How the SESH’N marketplace works, and the terms that apply when you use it.

Effective date: [EFFECTIVE DATE]

Working draft — pending final legal review

This page describes how SESH’N currently works and is still under review. It is not a final or binding legal agreement.

About SESH’N and these terms

SESH’N is an online marketplace, operated by [LEGAL ENTITY NAME], that connects people who list music studios and creative spaces (“Hosts”) with people who book them by the hour (“Renters”).

These terms apply to everyone who uses SESH’N — whether you browse, book a space, or list one. You can reach us at privacy@seshnstudios.com or by mail at [BUSINESS/MAILING ADDRESS].

[ATTORNEY REVIEW REQUIRED: the legal entity that operates SESH’N, how it should be named and described, and the operator and contact details to publish]

Our role in bookings

SESH’N provides the platform where Hosts and Renters find each other and transact. Each booking is a direct arrangement between a Host and a Renter for the use of a specific space at a specific time.

SESH’N handles the booking record and the payment for that arrangement, but does not own, operate, inspect, or control the spaces that Hosts list. SESH’N is the merchant of record for payments made through the platform (see Payments and payouts).

[ATTORNEY REVIEW REQUIRED: how SESH’N’s role as an intermediary and marketplace should be characterized, and the resulting allocation of responsibility and liability between SESH’N, Hosts, and Renters]

Your account

You must be at least 18 years old to create an account and use SESH’N.

To book or list a space you create an account with your name, email address, and a password. You are responsible for the information you provide and for keeping it accurate.

We may send a verification email; email verification is available but is not currently required to use your account. You are responsible for activity under your account and for keeping your password confidential. Passwords are stored only in hashed form, and you can reset yours by email. We can end active sessions — for example, after a password reset or for security.

Attorney review required

[ATTORNEY REVIEW REQUIRED: how the stated 18-or-older requirement should be verified and enforced, and any other eligibility requirements for creating an account and using the service]

Listing a space (Hosts)

When you publish a listing you provide details about the space, including its name, category, capacity, location and address, hourly price, at least one photo, its availability, and a cancellation policy. A listing can be published only once your payout account with our payment processor is set up to receive payments.

As a Host, you set your own price, availability, house rules, and cancellation policy, and you are responsible for the accuracy of your listing and for the space itself — including that you have the right to list it and to host bookings there.

Your listing’s public page shows only an approximate location. The exact address and any access instructions are shared with a Renter after that Renter’s booking is confirmed.

Attorney review required

[ATTORNEY REVIEW REQUIRED: Host representations and warranties, licensing, permit, and safety responsibilities for the physical space, and the allocation of responsibility for what happens during a booking]

Booking a space (Renters)

When you book, you choose a date and time and pay for the session. Your payment is held briefly while the booking is finalized; a booking is confirmed once payment is completed, and if it is not completed in time the hold is released.

The price you see before you pay — the hourly rate for the time you book and the SESH’N service fee — is recorded with your booking.

As a Renter, you agree to use the space only for the time and purpose you booked, to respect the Host’s house rules and capacity limit, and to leave the space as you found it.

Attorney review required

[ATTORNEY REVIEW REQUIRED: Renter conduct obligations, responsibility for damage or overstay, and the remedies available between Hosts and Renters]

Prices, fees, and taxes

Each Host sets an hourly price. SESH’N adds a service fee to the Renter’s total and deducts a commission from the Host’s payout. The exact fee amounts are calculated from the booking and shown to you before you pay; these rates are set by SESH’N and may change.

SESH’N does not currently calculate, collect, or remit any taxes on bookings. Any taxes that apply to a booking or to a Host’s earnings are the responsibility of the Hosts and Renters involved.

Attorney review required

[ATTORNEY REVIEW REQUIRED: tax collection and remittance obligations (including any marketplace-facilitator rules) and how tax responsibility is allocated]

Payments and payouts

Payments are processed by our third-party payment processor, Stripe. When you pay, your card details are entered directly with Stripe; SESH’N does not receive or store your card number. SESH’N keeps only a record of the transaction, such as the amount, currency, status, and the processor’s reference identifiers.

Hosts receive payouts through Stripe’s Connect service and must complete Stripe’s onboarding, which may include identity and bank-account verification. Your use of Stripe is also governed by Stripe’s own terms. SESH’N is the merchant of record for these payments.

Attorney review required

[ATTORNEY REVIEW REQUIRED: the legal consequences of SESH’N acting as merchant of record — including responsibility for chargebacks, refunds, and payment losses — and any money-transmission or payment-services characterization]

Cancellations and refunds

Every listing has one of three cancellation policies — Flexible, Moderate, or Strict — which set how far before the session a Renter must cancel to receive a refund. Flexible is the most lenient and Strict the least.

When a Renter cancels, the refund is calculated from the listing’s policy and the time remaining before the session. Depending on that timing, a cancellation results in a full refund, a partial refund (half of the session subtotal, with the service fee retained), or no refund. The exact amount is shown to you before you confirm the cancellation.

If a Host cancels a confirmed booking, or SESH’N cancels one, the Renter receives a full refund. SESH’N does not provide insurance, security deposits, or damage protection for bookings.

Attorney review required

[ATTORNEY REVIEW REQUIRED: the enforceability of these cancellation and refund terms and any consumer-protection requirements that apply]

Reviews, messages, and your content

After a completed booking, a Renter can leave a review — a rating and a written comment — for the space. Reviews are tied to real bookings and cannot be edited once posted. You can also message the other party about a listing or booking; messages are visible to the people in that conversation.

You keep ownership of the content you submit — listing text and photos, reviews, and messages — and you grant SESH’N permission to host and display that content as needed to operate the marketplace.

Attorney review required

[ATTORNEY REVIEW REQUIRED: the exact scope of the license users grant to their content, and SESH’N’s responsibilities and protections regarding user-generated content]

Acceptable use

You agree not to use SESH’N to break the law, to post false or misleading listings, to arrange payment outside the platform in order to avoid fees, to harass others, or to interfere with the security or operation of the service.

Attorney review required

[ATTORNEY REVIEW REQUIRED: the complete acceptable-use policy and the remedies available to SESH’N for violations]

Moderation and enforcement

SESH’N may review content and take action to keep the marketplace safe and accurate — for example, hiding a review, pausing or suspending a listing, suspending an account, or cancelling a booking. These administrative actions are recorded internally.

Attorney review required

[ATTORNEY REVIEW REQUIRED: the scope of SESH’N’s enforcement discretion and any notice or appeal rights owed to users]

Suspension and closing your account

You can close your account. Closing requires confirming the decision and re-entering your password, and you cannot close your account while you have active bookings. Some records are kept after closure — see the Privacy Policy for what is retained and why.

SESH’N may suspend an account or a listing where these terms are not followed.

Attorney review required

[ATTORNEY REVIEW REQUIRED: the grounds and process for suspension or termination, notice obligations, and the effect of termination on existing bookings]

Intellectual property

The SESH’N name, logo, and the design and content of the site are owned by [LEGAL ENTITY NAME] or its licensors, to the extent such rights exist, and may not be used without permission.

Attorney review required

[ATTORNEY REVIEW REQUIRED: ownership and protection of SESH’N’s intellectual property, including trademark and copyright status — no registration or trademark status is asserted here, and this must be confirmed by counsel]

Disclaimers, liability, and indemnification

SESH’N does not provide insurance, security deposits, or damage protection, and does not guarantee any space, Host, or Renter.

Attorney review required

[ATTORNEY REVIEW REQUIRED: warranty disclaimers and any “as is” language, and their enforceability]

Attorney review required

[ATTORNEY REVIEW REQUIRED: the limitation of SESH’N’s liability]

Attorney review required

[ATTORNEY REVIEW REQUIRED: indemnification obligations]

Disputes between users

A booking is an agreement between a Host and a Renter, and SESH’N is not a party to it. Payment disputes with your bank or card issuer (chargebacks) are handled through the payment processor. SESH’N does not currently offer an in-app dispute-resolution process between Hosts and Renters.

Attorney review required

[ATTORNEY REVIEW REQUIRED: how disputes between users, and between a user and SESH’N, are to be resolved, and SESH’N’s role in them]

Governing law and dispute resolution

[ATTORNEY REVIEW REQUIRED: the governing law and venue for these terms]

Attorney review required

[ATTORNEY REVIEW REQUIRED: whether disputes must be resolved by binding arbitration]

Attorney review required

[ATTORNEY REVIEW REQUIRED: whether a class-action waiver applies]

Changes to these terms

SESH’N may update these terms. When we do, we will update the effective date shown at the top of this page.
